Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Neuralocity molecule data platform, catalog, exports, and related websites operated by Neuralocity LLC (“Neuralocity,” “we,” “us,” or “our”) (collectively, the “Service”). By accessing or using the Service, you agree to these Terms. If you access the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

1. Research use only

The Service provides computationally prioritized molecule data and annotations for early drug discovery research. Outputs are computational triage signals, not experimentally validated assay, safety, or clinical results. You must not represent Neuralocity molecules, scores, ranks, or annotations as validated drug candidates, clinical candidates, or substitutes for wet-lab or regulatory judgment.

2. Neuralocity Data

“Neuralocity Data” means the curated commercial dataset made available through the Service, including without limitation: chemical structures and SMILES; canonical and source molecule identifiers; target-class and target-fit prioritization metadata (ranks, percentiles, tiers, and related annotations); toxicity, ADME, and safety-risk signals; drug-likeness and property descriptors; novelty and synthesis-readiness categories; rankings; provenance fields; catalog release identifiers; export metadata; and any derivatives, subsets, embeddings, featurizations, or machine-learning representations derived from the foregoing.

Individual molecules may be publicly known or independently discoverable. The protected commercial asset is the curated combination of molecule identity, multi-dimensional annotations, rankings, provenance, and release history, not any single structure viewed in isolation.

3. Accounts, entitlements, and access control

Access to Neuralocity Data is tiered by license and account entitlements. You may only access catalog records, fields, export volumes, API scopes, and catalog releases that your account or organization is expressly licensed to use.

Unless your written license provides otherwise:

  • preview or unlicensed users may view only limited catalog records, redacted or rounded score summaries, delayed releases, or partial molecule details;
  • bulk SMILES or CSV exports require active export entitlements and are subject to row limits;
  • programmatic API access requires a separate API or data license;
  • model-training or fine-tuning rights on Neuralocity Data require a separate explicit written license.

We may change preview visibility, entitlement requirements, rate limits, and export controls at any time to protect the commercial integrity of the dataset.

You must provide information that is true, accurate, reasonably complete, and not misleading when you register or when your organization provisions access, and you must keep it current. You bear the consequences of false, inaccurate, incomplete, misleading, or outdated account information, including failed notices, incorrect entitlements, and unauthorized use of your credentials.

4. Prohibited data extraction and misuse

Because a molecule data platform can be copied manually or through automation, you agree to help prevent unpaid bulk extraction and unauthorized commercial use. You must not, and must not permit others to:

  • scrape, crawl, harvest, mirror, or systematically copy Neuralocity Data from the Service or exports, whether manually, by script, or through automated tools;
  • redistribute, resell, sublicense, repost, publish, or make Neuralocity Data available to third parties outside your licensed organization;
  • use Neuralocity Data to build, train, benchmark, or improve third-party commercial models, databases, or data products without a separate written license;
  • circumvent, disable, or interfere with entitlement checks, export logging, access controls, rate limits, or other technical protections;
  • remove, alter, or obscure export watermarks, license identifiers, account metadata, or provenance fields embedded in downloaded files;
  • access or export data beyond the scope, row counts, fields, or releases covered by your license.

We do not claim that copying a small number of individual records can be prevented entirely. These restrictions exist to prohibit unpaid bulk extraction, unauthorized redistribution, and commercial use outside licensed scope. Serious commercial use of Neuralocity Data requires an appropriate paid license.

5. Exports and audit logging

Licensed exports may include account identifiers, user identifiers, catalog release, timestamp, license identifier, and other metadata for audit and license enforcement. Exported files remain subject to these Terms and your applicable data license. You are responsible for storing and using exports only within your licensed internal research scope.

We log export activity, including account, user, export type, row count, fields exported, and catalog release, to detect abuse, support billing, and enforce entitlements.

6. License scope defaults

Unless a separate written agreement states otherwise, default licenses are:

  • research-use and internal-use only;
  • non-exclusive and non-transferable;
  • limited to the named catalog segments, users, and export volumes purchased;
  • not sublicensable without our written consent;
  • not permitted for public database reposting or open redistribution.

7. Acceptable use

You agree not to:

  • use the Service for unlawful, harmful, or fraudulent purposes;
  • attempt to gain unauthorized access to systems, accounts, entitlements, or data;
  • interfere with or disrupt the Service, including by abusive automation or malware;
  • reverse engineer the Service except where permitted by applicable law;
  • misrepresent computational annotations as measured assay or clinical outcomes.

8. Intellectual property

The Service, Neuralocity Data (as a curated dataset and annotation layer), software, branding, and documentation are owned by Neuralocity or its licensors and protected by applicable intellectual property and contract law. These Terms grant only the limited access rights described in your entitlements and written licenses. No ownership of Neuralocity Data is transferred to you.

9. Service availability and changes

We may modify, suspend, or discontinue features, catalog releases, or scoring annotations at any time. We strive for reliable operation but do not guarantee uninterrupted availability. Continued subscription or license value may depend on catalog refreshes, updated annotations, and improved provenance, features we may provide under paid renewal terms.

10. Disclaimers

THE SERVICE AND NEURALOCITY DATA ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEURALOCITY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF COMPUTATIONAL ANNOTATIONS OR RANKINGS.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEURALOCITY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, RESEARCH RESULTS, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE OR NEURALOCITY DATA. EXCEPT AS STATED BELOW FOR PREVIEW OR OTHER NO-CHARGE USE, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (US $100) OR THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

THESE LIMITATIONS APPLY TO CLAIMS ARISING IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, STATUTE, OR ANY OTHER THEORY, WHETHER OR NOT NEURALOCITY WAS ADVISED THAT SUCH DAMAGES WERE POSSIBLE.

NEURALOCITY IS NOT LIABLE FOR LOSSES THAT ARISE FROM YOUR ACTS OR OMISSIONS, FROM YOUR FAILURE TO COMPLY WITH THESE TERMS OR APPLICABLE LAW, OR FROM RESEARCH, DEVELOPMENT, SYNTHESIS, OR COMMERCIAL DECISIONS YOU MAKE BASED ON COMPUTATIONAL ANNOTATIONS, RANKINGS, OR OTHER NEURALOCITY DATA.

IF YOU USE PREVIEW, UNLICENSED, OR OTHER NO-CHARGE FEATURES, THEN TO THE MAXIMUM EXTENT PERMITTED BY LAW NEURALOCITY'S TOTAL LIABILITY ARISING FROM THAT USE IS US $0.

Events outside our control

Neuralocity is not liable for delay or failure to perform caused by events outside its reasonable control. That includes natural disasters, epidemic, government or legislative action, war, civil unrest, labor disputes, utility or power failures, internet or telecommunications outages, cyberattacks, and failures of cloud hosting, payment processors, or other third-party providers.

Your systems and exported data

You are responsible for the security of your computers, networks, credentials, and any Neuralocity Data you store after download or export. Neuralocity is not responsible for loss, corruption, or unauthorized access to data on systems you or your organization control.

Patents and third-party rights

Providing a structure, identifier, SMILES string, or annotation through the Service does not mean the molecule is free of third-party patent, copyright, trademark, or other intellectual property claims. Neuralocity does not conduct freedom-to-operate analysis for you and does not warrant that any molecule, or any combination of molecules, may be made, used, sold, imported, or otherwise exploited without infringing third-party rights. Neuralocity is not liable for infringement arising from your use of Neuralocity Data. You are solely responsible for your own intellectual property review before laboratory or commercial use.

Legal compliance and chemical hazards

You are responsible for complying with all laws that apply to your access, download, export, import, and use of Neuralocity Data, and to any laboratory, synthesis, distribution, or commercial activity you undertake based on it. Computational toxicity, ADME, and safety-risk signals are triage annotations, not a substitute for reviewing actual chemical hazards, handling requirements, or toxicological properties before any laboratory work. If you synthesize, handle, or supply a compound identified in Neuralocity Data, you are responsible for ensuring that anyone who comes into contact with it is informed of known or reasonably ascertainable hazards.

Third-party websites

The Service may contain links to third-party websites or resources. Neuralocity does not control those sites and is not responsible for their content, availability, or any loss arising from your use of them.

12. Indemnification

You agree to indemnify and hold harmless Neuralocity from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of Neuralocity Data outside licensed scope, unauthorized redistribution or extraction, your violation of these Terms, or your violation of applicable law. This includes claims by third parties that your making, using, selling, importing, or otherwise exploiting a molecule based on Neuralocity Data infringes intellectual property or other rights, and claims arising from laboratory handling, synthesis, or supply of such a molecule.

13. Termination and enforcement

We may suspend or terminate access immediately if you violate these Terms, exceed licensed entitlements, attempt systematic extraction, or create legal, security, or commercial risk. Upon termination, your right to access and use Neuralocity Data ends, but you must continue to respect restrictions on data already exported. Provisions that by their nature should survive termination will survive, including data restrictions, disclaimers, limitation of liability, and indemnification.

14. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Material changes may also be communicated through the Service. Continued use after changes become effective constitutes acceptance of the revised Terms.

15. Governing law and venue

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles, except where mandatory local law applies. The state and federal courts located in Delaware have exclusive jurisdiction over disputes arising out of these Terms or the Service, except where mandatory local law requires otherwise.

16. General

If a provision of these Terms is held unenforceable, the remaining provisions continue in full force. Our failure to enforce a provision is not a waiver of our right to enforce it later, and a waiver is effective only if it is in writing and signed by Neuralocity.

You may not assign or transfer these Terms or your rights under them without our prior written consent. Any attempted assignment in violation of this paragraph is void. Neuralocity may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets.
